Terms of Service
Effective
1. Acceptance
By creating an Overwise account or using the service, you agree to these Terms. If you're using Overwise on behalf of a company, you confirm you have authority to bind that company to these Terms.
2. Account & access
You authenticate via Google or Microsoft OAuth. You are responsible for keeping the linked account secure. You may not share your account or use the service to access another person's account without authorization.
3. Acceptable use
You may use Overwise only for legal outbound communications. You agree to comply with all applicable laws — including CAN-SPAM, GDPR, and local anti-spam regulations — in addition to the safeguards Overwise applies on your behalf (auto-injected unsubscribe headers, suppression on negative reply, mailbox warmup, bounce auto-pause). Compliance is your responsibility too.
You may not use Overwise to send unsolicited spam outside your stated ICP, harass or threaten recipients, send pornographic or fraudulent content, or facilitate any illegal activity. We may suspend your account for clear violations.
4. Subscription & billing
Overwise is a paid subscription service. Plans, prices, and limits are documented on the Pricing page. You agree to the plan and price displayed in-app at the time of subscription.
Optional metered overage applies only if you opt in (off by default). Overage is hard-capped at 2× your tier's lead limit, so you cannot incur runaway charges. We bill via Stripe; payment failures may pause sending until resolved.
5. Cancellation
You may cancel anytime from the in-app billing page. Cancellation takes effect at the end of the current paid period; you keep access until then. Your data sits read-only for 30 days post-cancellation, then is hard-deleted (see Privacy Policy).
We may terminate or suspend your account for material breach of these Terms, with notice and a reasonable opportunity to cure unless the breach is severe.
6. Warranties & limitation of liability
Overwise is provided "as is" without warranties of any kind, express or implied. We don't guarantee uninterrupted service, error-free operation, or specific outbound-conversion outcomes.
To the maximum extent permitted by law, our aggregate liability for any claim is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
7. Modifications
We may update these Terms with reasonable notice (typically 30 days for material changes, communicated by email and an in-app banner). Continued use after the effective date constitutes acceptance.
8. Governing law
These Terms are governed by the laws of [jurisdiction TBD by counsel-reviewed copy]. Disputes are resolved in the courts of [jurisdiction TBD]. Nothing in these Terms limits non-waivable consumer-protection rights you may have under your local law.
